COA Network Affiliate Agreement

The following are the terms and conditions of participating in the COA Network Affiliate Program. "Affiliate" refers to you, and "COA Network" refers to COA Network, Inc. located at 501 Hoes Lane, Suite 200, Piscataway, NJ 08854.

PLEASE READ THE POLICIES AND PROCEDURES CAREFULLY BEFORE ENROLLING AS A COA NETWORK AFFILIATE. PARTICIPATION INDICATES THAT YOU ACCEPT THESE POLICIES AND PROCEDURES. IF YOU DO NOT ACCEPT THESE POLICIES AND PROCEDURES, PLEASE DO NOT ENROLL AS A COA NETWORK AFFILIATE. MOREOVER, THE CONTINUED ENROLLMENT IN THE PROGRAM SHALL MEAN THAT YOU ARE IN AGREEMENT WITH THE POLICIES AND PROCEDURES, AS MODIFIED FROM TIME TO TIME.
All Affiliate applications are subject to approval by COA Network.

Payments and Commissions
COA Network will pay the Affiliate the effective recurring commission for each account sold by Affiliate via the unique link assigned to the Affiliate.

Affiliate commission shall be paid via PayPal every 30 days, approximately two months in arrears.  COA Network reserves the right to modify the payment schedule.  If commission does not exceed $25, COA Network reserves the right to hold payment until commissions accumulate to that minimum amount.
Although the Affiliate Program is not limited to the U.S., all payments will be made in U.S. dollars.

In order to qualify for commissions, Affiliate must have a minimum of 2 active clients in good standing.
Affiliate may not use their own Affiliate Link to order services from COA Network. Doing so will result in immediate reversal of any commission.

If a qualifying sale is canceled or refunded, the related commission will be deducted from the Affiliate�s next monthly commission payment.

Affiliates are NOT employees of COA Network and are responsible for their own local, state, or country taxes.

Any commission payments earned in excess of $600 will be held by COA Network until the Affiliate has completed and turned in a proper W-9 form.

NOTE: The W-9 Form must list a valid Social Security Number or Federal Tax Identification Number (TIN) that has been issued to the Affiliate by the U.S. Social Security Administration. COA Network is required by law to report Commission earnings to the Internal Revenue Service. Submission of completed and valid forms, including a valid Social Security Number or TIN for U.S. persons or U.S. resident aliens, constitutes part of the earnings process for commission purposes. Commissions will be calculated in accordance with the Sales Compensation Plan but will not be paid and the earnings process will not be deemed complete until all required forms are submitted to COA Network and have been validated by COA Network.  Affiliates outside the US must submit a W8-BEN form when commission payments are in excess of $600.

Affiliate Link
Affiliate will be issued an "Affiliate Link", or unique URL, which allows COA Network to identify visitors from your site as originating from you. These visitors are tracked with this unique URL and sales are recorded with your Affiliate ID. To receive commissions, you must use the provided Affiliate Link. The URL may be in various forms such as a banner, image, or text link.

COA Network is only responsible for paying commissions on sales that can be traced back to the Affiliate using the technology in use by COA Network.  
Affiliate is solely responsible for ensuring that their Affiliate Link is set up properly to qualify for commissions.

Advertising
COA Network reserves all rights in or to its trademarks and service marks but they may be used by Affiliate in accordance with this agreement. The trademarks may not be used to register internet domain names or for pay-per-click adverting.   Affiliate may in no way display logos, images, or trademark which may be distasteful, defame, or misrepresent.

Affiliate agrees to not send unsolicited email or SPAM mail to promote any COA Network products or services. This action WILL RESULT in immediate termination of your account with a cancellation of any pending commissions. Affiliate will also be in violation of the COA Network Affiliate Agreement and subject to legal action. 
Sites that promote sexually explicit material or violence shall not be accepted. Sites that promote discrimination based on race, sex, religion, national origin, or physical disability shall not be accepted. Sites that promote illegal activities shall not be accepted. Do not apply if your site promotes these kinds of activities. By applying, you are stating that your Site does not directly promote or endorse these activities.

Term of Agreement
This agreement remains in effect until cancelled by either party.

Both COA Network and the Affiliate reserve the right to terminate this agreement at any time. If canceled, outstanding commissions for current period at time of cancellation shall be paid in the next monthly payment so long as rules of this agreement were not violated by the Affiliate. 
Commissions earned through the date of expiration or cancellation of this agreement will remain payable only if the qualifying sales are not cancelled or refunded by the referred Customers. Payment of the final Commission payment to the Affiliate may be withheld for a reasonable time in order to ensure that the correct amount is paid. 
Disclaimer
COA Network will make every reasonable effort to track and pay commissions for all sales that apply to Affiliate. However, COA Network is not responsible for technical problems, acts by third parties, or other events outside our reasonable control which may temporarily disrupt or diminish this service. 
Privacy
To protect COA Network customer privacy, we cannot provide identifying customer names and contact information to you. However, we will provide an online report detailing price, service, date of sale, and perhaps other data for your records. 
Independent Contractor
The relationship between COA Network and Affiliate established by this Agreement is that of independent contractors. COA Network and Affiliate shall each conduct its respective business at its own initiative, responsibility and expense, and shall have no authority to incur any obligations on behalf of the other, except as otherwise provided herein. Term "Affiliate" shall not be interpreted as a legal partner or affiliate, simply as an independent contractor for COA Network under this agreement. 
Limitation of Damages
COA Network shall not be held liable for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or program, even if COA Network has been advised of the possibility of such damages. COA Network�s aggregate liability arising under or with respect to this agreement or the program shall in no event exceed the total commissions paid or payable by COA Network under this agreement.

Affiliate understands that Affiliate tracking can never be 100% accurate and COA Network is not responsible for inaccuracies that might occur beyond its control. Tracking of Affiliate sales depends on several factors which are out of the control of COA Network. It is the goal of COA Network to make Affiliate tracking as accurate as possible; however, COA Network cannot guarantee 100% tracking for situations beyond its control. 
Warranty Disclaimer
COA Network makes no warranties expressed or implied with regard to Affiliate Program except as outlined in this agreement. 
Governing Law
This Agreement shall be governed by, and enforced in accordance with, the laws of the State of New Jersey, without regards to its conflicts of law provisions. Both parties hereto irrevocably consent to the jurisdiction of the state and federal courts located in Middlesex County, New Jersey.
Final Provisions
The illegality, invalidity or unenforceability of any provision of these Terms of Service shall not affect the legality, validity and enforceability of any other provisions hereof.
It is also understood and agreed by the parties that if any provision of this Agreement is prohibited or is unenforceable under the law of any government having jurisdiction, (i) such invalid or unenforceable provision will be modified to the extent necessary to render it valid and enforceable without altering its intent, or (ii) if such modification is not possible, these Terms of Service will be construed as if such invalid or unenforceable provision had never been contained in these Terms of Service.
